1. AGREEMENT TO TERMS

These Terms of Use ("Terms") govern your use of PinSpace, a social networking service that allows users to create collections, subscribe to other users' collections, and share content ("Service"), operated by PinSpace SRL ("we," "us," or "our"), a company registered in Romania with its registered office at Jud. Suceava, Municipiul Suceava, Strada LAZĂR VICOL, Nr. 15, Bl. E37, Scara A, Ap. 47, EUID: ROONRC.J2025045812003.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. ELIGIBILITY

You must be at least 16 years old to use our Service. By using PinSpace, you represent and warrant that you are at least 16 years of age. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3. YOUR ACCOUNT

To use certain features of the Service, you must register for an account ("Account"). When you register for an Account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept all risks of unauthorized access to your Account
- Notify us immediately of any unauthorized use of your Account

You are responsible for all activities that occur under your Account. You may not use another person's Account without permission.

4. USER CONTENT

4.1 Your Content
Our Service allows you to create collections, upload images and videos, share links, and interact with other users' content ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.

4.2 License to PinSpace
By posting User Content to the Service, you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your User Content for purposes of operating and providing the Service.

4.3 Content Representations
You represent and warrant that:
- You own or have the necessary rights to use and authorize us to use all User Content you post
- Your User Content does not infringe any third party's rights
- You have permission from anyone featured in your User Content

4.4 Content Restrictions
You agree not to post User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or objectionable
- Contains nudity, violence, or graphic content
- Infringes any patent, trademark, copyright, or other proprietary rights
- Contains viruses or other harmful computer code
- Violates the privacy or publicity rights of others
- Is spam or unsolicited commercial content
- Impersonates any person or entity
- Promotes illegal activities or substances
- Contains hate speech or discriminatory content
- Exploits or harms minors in any way

5. PROHIBITED USES

You may not:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to any portion of the Service
- Interfere with or disrupt the Service or servers
- Use any automated means to access the Service without our permission
- Create multiple accounts for disruptive or abusive purposes
- Sell, transfer, or assign your Account to anyone else
- Collect or harvest any information from the Service
- Use the Service to send spam or unsolicited messages
- Engage in any activity that could damage our reputation

6. COLLECTIONS AND SUBSCRIPTIONS

PinSpace allows you to:
- Create collections to organize content
- Subscribe to other users' collections
- Receive notifications when subscribed collections are updated
- Share content from the web to your collections

You acknowledge that subscription notifications are a core feature of the Service and by subscribing to a collection, you consent to receive these notifications.

7. INTELLECTUAL PROPERTY

7.1 PinSpace's Rights
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of PinSpace SRL and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

7.2 Copyright Policy
We respect the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any User Content violates your copyright, please contact us at support@pinspace.com with:
- Identification of the copyrighted work
- Identification of the infringing material
- Your contact information
- A statement of good faith belief
- A statement of accuracy and authority to act

Repeated copyright infringement will result in account termination.

8. PRIVACY

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

9. TERMINATION

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Violation of our Community Guidelines
- At the request of law enforcement
- Extended periods of inactivity
- Fraudulent or illegal activity
- Technical or security issues

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, you may do so by contacting us at support@pinspace.com.

10. DISCLAIMERS

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- The results of using the Service will meet your requirements

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINSPACE SRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the greater of €100 EUR or the amount you paid us in the past twelve months.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PinSpace SRL and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third party rights
- Your User Content

13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.

For users residing in the European Union, nothing in these Terms affects your rights under applicable EU consumer protection laws.

14. CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide notice prior to any new terms taking effect by:
- Posting the new Terms on this page
- Notifying you via email or through the Service

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. GENERAL PROVISIONS

15.1 Entire Agreement
These Terms constitute the entire agreement between you and PinSpace regarding the Service and supersede all prior agreements.

15.2 Waiver and Severability
Our failure to enforce any provision of these Terms shall not be deemed a waiver. If any provision is held to be invalid or unenforceable, the remaining provisions will continue in full force.

15.3 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

15.4 No Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights.
